The Company:
Paebbl is an industrial resilience company turning captured CO₂ into carbon-storing building materials. We accelerate the natural process of CO₂ mineralisation- in which CO₂ reacts with minerals to form stable carbonates from thousands of years -to a matter of hours, producing a carbon-negative powder that can replace conventional, heavily emitting cementitious materials. Having switched on the world’s first continuous CO₂ mineralisation demonstration plant, we are now scaling from startup execution into structured industrial operations. It is a fast-moving environment where pragmatism, ownership, and the ability to build things that work in the real world matter.
The Role
This is a hands-on, strategic role for someone who is comfortable operating in a startup or scale-up environment: pragmatic, commercially minded, comfortable with ambiguity, and able to balance legal risk with business momentum.
As General Counsel, you will be Paebbl’s senior legal leader and a trusted advisor to the executive team, board, and wider business. You will be responsible for shaping the company’s legal strategy, managing legal risk, supporting fundraising and governance, negotiating key commercial agreements, and building a scalable legal infrastructure that supports Paebbl’s growth.
This role requires someone who can move between strategic counsel and hands-on execution. One day you may be advising on board governance, financing, or regulatory risk; the next, you may be negotiating a partnership agreement, reviewing procurement terms, supporting employment matters, or managing external counsel across multiple jurisdictions.
The ideal candidate has strong experience in startup or scale-up environments and understands what it means to build legal processes that are practical, business-friendly, and fit for a fast-moving company.
Key Responsibilities
Legal Strategy and Leadership
Build and lead Paebbl’s legal function, creating a practical, scalable, and business-oriented legal operating model.
Act as a trusted legal advisor to the CEO, executive team, and board on strategic, commercial, corporate, and governance matters.
Provide clear, pragmatic legal guidance that helps the business make informed decisions without slowing execution unnecessarily.
Develop legal processes, templates, policies, and risk frameworks suitable for a fast-growing startup environment.
Identify and manage legal risks across the business, ensuring Paebbl remains compliant while maintaining commercial agility.
Corporate Governance and Financing
Support board governance, shareholder matters, corporate structuring, and legal documentation for board and investor processes.
Partner with the finance and leadership teams on fundraising, investor due diligence, financing rounds, and related corporate matters.
Manage corporate housekeeping across relevant jurisdictions, ensuring accurate records, filings, approvals, and governance documentation.
Advise on equity, incentive plans, shareholder rights, and other corporate matters as the company grows.
Commercial Contracts and Partnerships
Draft, review, and negotiate a broad range of commercial agreements, including customer contracts, supplier agreements, strategic partnerships, NDAs, licensing arrangements, procurement contracts, and service agreements.
Support business development and commercial teams in structuring deals that balance growth, risk, and operational feasibility.
Create standardized contract templates and playbooks to improve speed, consistency, and quality of contracting across the company.
Advise on contractual risk, liability, warranties, indemnities, IP ownership, confidentiality, data protection, and dispute resolution.
Industrial, Manufacturing, and Project Support
Provide legal support for agreements related to manufacturing, engineering, construction, supply chain, equipment, technology deployment, and project delivery.
Advise on legal risks related to industrial scale-up, operational partnerships, procurement, and cross-border execution.
Work closely with technical, commercial, finance, and operations teams to ensure legal support is embedded early in project planning.
Support Paebbl as it moves from startup execution into more structured industrial and commercial operations.
Regulatory, Compliance, and Risk
Advise on relevant regulatory and compliance matters across Sweden, the EU, and other relevant jurisdictions.
Build and maintain practical compliance frameworks covering areas such as anti-bribery and corruption, sanctions, data protection, competition law, conflicts of interest, and business ethics.
Partner with teams across the business to ensure legal and compliance obligations are understood and implemented in a practical way.
Manage disputes, claims, and legal escalations if they arise, working with external counsel where needed.
Employment, People, and Internal Policies
Partner with the People team on employment law matters, employee agreements, contractor arrangements, policies, equity documentation, and sensitive employee relations issues.
Support the development of legally sound and values-aligned internal policies.
Advise on cross-border employment and workforce-related legal questions as the company expands.
Help ensure Paebbl’s legal approach supports both compliance and a strong employee experience.
External Counsel and Legal Operations
Select, manage, and coordinate external legal advisors across jurisdictions and subject areas.
Ensure external counsel is used effectively, with clear scopes, cost discipline, and strong business alignment.
Build internal legal operations processes, including matter tracking, contract management, approval workflows, and legal budget oversight.
Develop a legal function that is proactive, accessible, and trusted across the organization.
What We’re Looking For
Registered/Certified lawyer with strong experience in Sweden or the EU
Significant post-qualification experience, ideally including time in a startup, scale-up, venture-backed company, or fast-growth technology/industrial business.
Strong corporate, commercial, and governance experience, including fundraising, investor relations support, board matters, and commercial contracting.
Experience building legal processes, templates, policies, and systems in a company that is scaling quickly.
Comfortable working in a hands-on role where legal leadership includes both strategic advice and day-to-day execution.
Strong understanding of risk management, with the ability to distinguish between theoretical legal risk and practical business risk.
Excellent commercial judgment and the ability to explain complex legal issues clearly to non-lawyers.
Strong stakeholder management skills, with the confidence to challenge constructively and the judgment to enable progress.
Experience managing external counsel and legal budgets.
Fluent English communication skills; Swedish language skills would be a strong advantage.

What success looks like after 12 months
After 12 months, the General Counsel will have established themselves as a trusted strategic advisor to the co-CEO's, executive team, board, and wider business. Legal will be viewed not as a blocker, but as a practical and commercially minded partner that helps Paebbl move faster with greater clarity and confidence.
A successful first year would include building the foundations of a scalable legal function. This means core contract templates, approval workflows, governance processes, compliance policies, and legal operating rhythms are in place and actively used by the business. Teams know when and how to involve Legal, and the process for getting legal support is clear, efficient, and proportionate to risk.
The General Counsel will have supported key commercial, financing, governance, and partnership priorities, including helping the business negotiate and close important agreements while protecting Paebbl’s long-term interests. They will have brought structure to contract management, external counsel usage, and legal risk tracking, reducing unnecessary legal spend and improving visibility across the organization.
They will also have helped strengthen Paebbl’s governance and compliance foundations. Board and shareholder processes will be well managed, corporate records will be organized, and the company will have a clearer approach to regulatory, employment, commercial, data protection, and compliance obligations across relevant jurisdictions.
Most importantly, the General Counsel will have helped Paebbl scale with confidence. They will have balanced startup speed with legal discipline, created practical guardrails for decision-making, and built strong relationships across Finance, People, Commercial, Operations, Technology, and the leadership team. After 12 months, Paebbl should feel that it has a legal leader who understands the business, enables growth, protects the company, and helps turn complexity into clear, actionable guidance.
